(lee health foundation) until november 1, 2024, when the system was converted to a non-governmental, not-for-profit, community hospital system pursuant to a transaction (the conversion transaction) by which all of the operations, assets, and liabilities of the system were transferred to lee health system, inc. (lee health), a newly formed florida not-for profit corporation exempt from federal income taxation as an organization described in section 501(c)(3) of the internal revenue code (the code). In connection with the conversion transaction, lee health foundation's by-laws were amended effective november 1, 2024, whereby lee health foundation became an affiliate of lee health through a member substitution pursuant to which the system ceased being the sole member of lee health foundation and lee health became the sole member. As a result of the conversion transaction, the specific and primary purposes for which lee health foundation now operates is to advance the mission of lee health.

Lee health foundation serves as the fundraising and advancement arm of lee health system, inc. (lee health). The lee health foundation provides a comprehensive development operation in support of lee health's strategic priorities, including raising principal, major, and planned gifts, operating an annual giving program, and conducting fundraising events. Lee health foundation solicits, collects, manages and distributes funds according to donor wishes on behalf of lee health. The lee health foundation prioritizes it's fundraising activities to support the growth of capital facilities, programmatic expansion, personnel, and other priorities of lee health, including the heart, cancer, orthopedics and digestive health services lines, and primary, women's and children's care. Lee health foundation also provides grants to support community programs, which totaled $55,000 for the period ending september 30, 2025.
